How Harbour Light is governed
Harbour Light is a Community Interest Company. Its Articles of Association are its principal constitutional and governing document.
Subject to the Articles, the Directors are responsible for managing the Company's business. Board and Director decisions are taken collectively: by majority at a meeting, or unanimously without a meeting in accordance with the Articles.
The Directors may delegate implementation and day-to-day management while retaining responsibility for governance.
The Articles also cover
- conflicts of interest;
- appointment and retirement of Directors;
- Directors' interests;
- member decision making; and
- records and accounts.
